Driver Engagement Agreement

Terms and Conditions

This Driver Engagement Agreement (“Agreement”) is entered into between TRUXX TRANSPORTATION TECHNOLOGY LLC (“TRUXX”), and the undersigned driver (“Driver”), collectively referred to as “Parties.” This Agreement sets forth the terms and conditions under which the Driver will provide transportation services through the TRUXX mobile application.

 

1. Definitions:

 

  • “TRUXX App”: Refers to the mobile application developed by TRUXX that connects customers with drivers for transportation services.
  • “Driver“: Refers to the truck driver “i.e pickup truck, medium truck, or other types of trucks” who provides transportation services through the TRUXX App.
  • “Trip”: Refers to each individual transportation service provided by the Driver through the TRUXX App.

2. Registration and Acceptance:

 

  1. Driver must complete the registration process through the “Driver App” and provide accurate and up-to-date information to create a profile on the TRUXX database, including Civil ID, Driver’s License, Vehicle Registration License, and any other documents requested by our officers.
  2. TRUXX reserves the right to accept or reject Driver’s registration at its sole discretion.
  3. By accepting this Agreement and registering on the TRUXX App, Driver agrees to abide by all the terms and conditions outlined herein.

3. Transportation Services:

 

  1. Driver agrees to provide transportation services to customers as requested through the TRUXX App, the driver is expected to install the app (from AppStore or GooglePlay), grant the app access to its geolocation, on driver’s own internet data expense.
  2. Driver acknowledges that they are an independent contractor and not an employee of TRUXX, or any other similar company or a competitor business of TRUXX.
  3. Driver is solely responsible for ensuring the safety, legality, and suitability of the vehicle used for providing transportation services.
  4. Driver is solely responsible for any damage occurs to the customer’s transported items, all items of all nature, transportation services.

4. Commission and Payments:

 

  1. Driver acknowledges that TRUXX will deduct a commission from the total fare for each completed Trip made through the TRUXX App, this commission is variable and subject to change based on trip requirements.
  2. TRUXX may provide an electronic statement if being requested to outlining the details of each Trip and the associated commission deducted. However in the driver app account, there will be all trip details conducted by the driver.
  3. Payments to the Driver, after deducting TRUXX’s commission, will be processed and transferred to the provided payment method in a timely manner, as per TRUXX’s payment schedule.
  4. If the customer chose to pay the Trip fees in cash, the trip amount will be deducted from the Driver’s digital wallet, and a final calculations will be automatically settled, the Driver will have the option to get a digital reports that include all the financial details of each Trip.

5. Ratings and Reviews:

 

  1. Customers have the option to rate and review the Driver’s performance after each Trip.
  2. TRUXX reserves the right to use these ratings and reviews for quality assurance and promotional purposes.

6. Termination:

 

  1. Either party may terminate this Agreement at any time with or without cause.
  2. Termination by either party will not affect the completion of Trips already in progress, however, the termination will be effective only after settling all the financial transactions between the two parties.

7. Confidentiality:

 

  1. Both Parties agree to keep any confidential information received during the course of this business relationship confidential and not disclose it to third parties, including the amount of transactions, fees, disputes, and commissions.

8. Indemnification:

 

  1. Driver agrees to indemnify and hold TRUXX harmless from any claims, liabilities, losses, damages, costs, or expenses arising from the Driver’s actions, negligence, or failure to comply with this Agreement, including, but not limited to: Road Accidents, Vehicle Mechanical or Physical Troubles, Customer’s Products/Items damage.

9. Governing Law and Dispute Resolution:

 

  1. This Agreement shall be governed by and construed in accordance with the laws of the UNITED ARAB EMIRATES.
  2. Any disputes arising out of or in connection with this Agreement shall be submitted to the court of law in the Emirate of Abu Dhabi, UAE.

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether written or oral. By registering on the TRUXX App and accepting this Agreement, the Driver acknowledges their understanding and acceptance of the terms and conditions outlined herein.
